Note: This English version is provided for convenience. In the event of any discrepancy or ambiguity, the French version (Conditions Générales d'Utilisation) shall prevail and is the legally binding text.


Preamble

These Terms of Use ("Terms") set out the rights and obligations of Kodo Financial Technology Inc. ("Kodo", "we", "our", or "the Company") and of users of the Kodo platform ("you", "the user") in connection with accessing and using the services offered by Kodo.

Kodo is a digital platform that centralizes payments for essential services in Senegal (mobile airtime top-ups, data top-ups, water and electricity bill payments, prepaid electricity top-ups) and rewards every payment with Kodo Points. Kodo connects the habits of residents in Senegal and the Senegalese diaspora around these same essential services: a resident pays their own bills, while a member of the diaspora can pay those of a loved one back home, within the same app.

These Terms constitute a legally binding contract between you and Kodo. By creating a Kodo account or using our services, you acknowledge that you have read, understood, and accepted these Terms in full. If you do not accept these Terms, you are not authorized to use the Kodo platform.

These Terms must be read together with our Privacy Policy and our Legal Notice, which form an integral part of the agreement between you and Kodo.


1. Definitions

In these Terms, the following terms have the meanings assigned to them below:

"Kodo" means Kodo Financial Technology Inc., a company organized under the laws of the State of Delaware (United States), and, where applicable, its Senegalese subsidiary, Kodo Financial Technology SAS.

"Kodo Account" means the personal account created by a user on the Kodo platform, giving them access to the Services.

"Platform" means all of Kodo's digital services, including the mobile app available on iOS and Android, the website, and any other interface providing access to Kodo Services.

"Services" means all services offered by Kodo, including, without limitation, mobile credit top-ups (airtime and data), water and electricity bill payments, and prepaid electricity top-ups.

"Transaction" means any operation carried out by a user on the Kodo platform, involving payment for a service.

"Kodo Points" means the loyalty points accumulated by users under the Kodo loyalty program.

"Referee" means a new user who has created a Kodo account using another user's referral code ("the referrer").

"Aggregators" means the third-party providers with which Kodo has contracted for the actual delivery of services to users (mobile credit operators, bill payment providers, etc.).

"WhatsApp OTP" means the one-time code sent via the WhatsApp app to verify a user's identity.

"FCFA" means the CFA Franc, the currency used in Senegal and the countries of the WAEMU.

"Cause" means a violation of these Terms, fraudulent or illegal activity, or any other legitimate reason justifying the suspension or closure of an account.


2. About Kodo and the nature of the platform

2.1 What Kodo is

Kodo is a digital platform that lets you easily and quickly carry out the following operations, exclusively for phone numbers and meters located in Senegal:

Mobile top-ups:

  • Prepaid mobile airtime top-ups for Senegalese telecommunications operators
  • Mobile data plan top-ups

Bill and energy service payments:

  • Water bill payments (SENEAU)
  • Electricity bill payments (SENELEC)
  • Prepaid electricity top-ups (Woyofal) for prepaid meters

2.2 What Kodo is not

It is essential to understand the nature of Kodo for informed and responsible use of the platform.

Kodo is not, and does not claim to be:

  • A regulated payment service provider or a licensed payment institution
  • A bank, credit institution, or financial institution
  • An electronic wallet or e-money operator
  • A financial intermediary or money transfer agent
  • A telecommunications operator
  • A peer-to-peer money transfer service

Kodo does not collect, hold, manage, or transfer funds on behalf of its users. Kodo acts exclusively as a reseller of third-party services and an access platform that allows its users to order and pay for services via licensed partners.

Payment processing is entirely delegated to licensed third-party payment providers (Orange Money, Wave, banking networks), who alone are authorized to process financial flows.

2.3 Operating model

When you carry out a transaction on Kodo:

  1. You place an order via the platform (type of service, target number/meter, amount)
  2. You pay via a third-party payment provider (Orange Money, Wave, bank card)
  3. Kodo receives payment confirmation from the provider
  4. Kodo forwards your order to its partner aggregator
  5. The aggregator communicates the order to the final operator (telecom operator, SENELEC, etc.)
  6. The service is delivered to your target number or meter
  7. Kodo sends you a delivery confirmation

2.4 Geographic availability

Kodo services are currently available for topping up phone numbers and meters located exclusively in Senegal. Users can log in and place orders from anywhere in the world (including from the diaspora), but service delivery is exclusively provided to recipients in Senegal.


3. Access to the platform and account creation

3.1 Eligibility requirements

To access Kodo's services, you must meet the following requirements:

Age requirement: You must be at least 12 years old to create a Kodo account and use our services. By creating an account, you confirm that you meet this requirement. Users aged 12 to 17 confirm that they have the permission of a parent or legal guardian.

Access to a phone number and WhatsApp: Creating a Kodo account requires a valid, active phone number on which you can receive an OTP code via WhatsApp.

Legal capacity: You confirm that you have the legal capacity to enter into a contract under the laws applicable in your country of residence.

Acceptance of the Terms: You must explicitly accept these Terms, Kodo's Privacy Policy, and Kodo's Legal Notice to use our services.

3.2 Account creation process

Creating a Kodo account follows these steps:

  1. Download the Kodo app from the App Store (iOS) or Google Play (Android), or access the Kodo website
  2. Enter your phone number: enter your phone number in international format
  3. Receive the OTP code: a one-time code is sent to you via WhatsApp
  4. Verification: enter the OTP code received to confirm your number
  5. Accept the Terms: check the box to accept these Terms
  6. Account activation: your account is created and immediately active

3.3 WhatsApp OTP verification

Kodo uses a One-Time Password (OTP) verification system via WhatsApp to:

  • Confirm that you actually have access to the phone number provided
  • Secure account creation against fraudulent account creation
  • Secure certain sensitive operations on your account

The OTP code is valid for a limited time and for single use only. Never share your OTP code with anyone, including people claiming to be Kodo employees. Kodo will never ask for your OTP code through any channel other than the app's official authentication process.

3.4 One account per person

Each user may only hold one Kodo account. Creating multiple accounts is strictly prohibited and constitutes a violation of these Terms that may result in the suspension or closure of all accounts involved.

3.5 Personal nature of the account

Your Kodo account is strictly personal and non-transferable. You may not share, rent, lend, or transfer your account to a third party. You are solely responsible for all actions taken from your account.

3.6 Kodo's right to refuse

Kodo reserves the right to refuse to create an account, without any obligation to provide a reason, notably in the event of:

  • Incomplete, inaccurate, or fraudulent information provided
  • Suspected use for unlawful purposes or purposes contrary to these Terms
  • An attempt to create an account by a person already suspended or banned
  • Any other commercial, technical, or legal reason

4. Account security and user responsibility

4.1 Your responsibility

You are entirely responsible for:

  • The confidentiality of your login credentials and your OTP code
  • All actions taken from your account, whether carried out by you or by a third party who gained access to your account due to your negligence
  • The accuracy and updating of your personal information
  • The security of the device you use to access Kodo

4.2 Security obligations

You agree to:

  • Never share your OTP code with a third party
  • Not access Kodo from a shared or poorly secured device without taking special precautions
  • Immediately report to Kodo any suspected unauthorized access to your account
  • Not leave your Kodo session open on a shared device
  • Regularly update the Kodo app to benefit from the latest security fixes

4.3 In the event your account is compromised

If you suspect that your account has been compromised or that unauthorized access has occurred:

  • Contact Kodo immediately via the app
  • Kodo will temporarily suspend your account while it investigates
  • Kodo will review the transactions carried out and inform you of its findings
  • If fraudulent access is confirmed, Kodo will take the necessary measures

If the compromise results from your negligence (sharing the OTP code, using an unsecured device, etc.), Kodo cannot be held liable for any resulting damages.


5. Using Kodo services

5.1 Available services

Kodo lets you access the following services, exclusively for recipients in Senegal:

Mobile top-up (prepaid): Top-up of phone credit (airtime) and data plans for the main Senegalese telecommunications operators. This service is capped at 20,000 FCFA per transaction.

Water bill payment: Payment of water bills to the Société Nationale d'Eau du Sénégal (SENEAU). This service is capped at 250,000 FCFA per transaction.

Electricity bill payment: Payment of electricity bills to the Société Sénégalaise d'Électricité (SENELEC). This service is capped at 250,000 FCFA per transaction.

Prepaid electricity top-up (Woyofal): Top-up of prepaid Woyofal electricity meters. This service is capped at 250,000 FCFA per transaction.

5.2 How a transaction works

For each transaction:

  1. Select the type of service you want
  2. Enter the target phone number, meter number, or account identifier
  3. Enter the desired amount (within the applicable cap)
  4. Check the information entered (this step is crucial, see Section 6.2)
  5. Choose your payment method
  6. Confirm and make the payment
  7. Receive transaction confirmation

5.3 Confirmed transactions are irrevocable

Once a transaction is confirmed and payment has been made, it cannot be canceled. Digital services (mobile credit, electricity, bill payments) are delivered instantly or near-instantly and cannot be recovered.

Make sure you check all information entered (number, amount, service type) before confirming any transaction.

Kodo reserves the right to adjust these caps at any time with prior notice to users.

5.5 Kodo may introduce frequency limits

For security reasons and to combat abuse, Kodo may apply limits on the number of transactions that can be made within a given period. You will be informed of these limits if they apply to your account.


6. User responsibility for information entered

6.1 Your obligation of accuracy

You are solely and entirely responsible for the accuracy of all information you enter on the Kodo platform, including:

  • The phone number to be topped up (including the correct country code)
  • The electricity or water meter number
  • The customer account identifier
  • The type of service chosen
  • The transaction amount

6.2 Verification before confirmation

Before confirming any transaction, you must systematically check all the information displayed on screen. Confirming the transaction constitutes your final and irrevocable approval of that information.

6.3 Consequences of an incorrect number or identifier

Kodo does not verify the identity of the owner of the target phone number or meter. It is your responsibility to ensure that:

  • The number or identifier you enter is correct
  • You have the right to top up this number or pay this bill
  • The recipient agrees to receive the top-up (if it is not your own number)

In the event of a data entry error (wrong number, wrong meter):

  • The transaction will be delivered to the unintended recipient
  • Kodo will not be able to issue any refund
  • You will not be able to recover the credit or payment made to the wrong recipient
  • Kodo will bear no liability for the consequences of your data entry errors

6.4 Top-ups for third parties and saved recipients

Kodo lets you top up a phone number or pay a bill on behalf of another person (for example, topping up a loved one's phone from the diaspora). You can save a number or meter as a favorite so you don't have to re-enter it each time you pay. In all cases:

  • You confirm that you have that person's permission to carry out this operation
  • You are responsible for verifying that the saved number or identifier is correct
  • You bear full responsibility for the transaction
  • Kodo may not be used as a tool for harassment or intrusion (unsolicited sending of credit to a non-consenting person)

7. Payments and fees

7.1 Available payment methods

Kodo accepts the following payment methods:

Orange Money: Orange Sénégal's electronic wallet. Payment is initiated from the Kodo app and requires your confirmation via your Orange Money code.

Wave: A mobile payment app. Payment is processed via the Wave app after your confirmation.

Bank card: Visa and Mastercard accepted. Card payments are processed via a secure, certified payment gateway. Kodo does not store your bank card data.

7.2 Service fees

Kodo does not charge the user any additional service fees. The amount you pay corresponds exactly to the amount of the service purchased. Kodo covers the processing fees associated with payment methods.

7.3 Responsibility for payment method fees

Your payment provider (bank, Orange Money, Wave) may charge fees independently of Kodo. These fees are set by your payment provider, and Kodo has no control over them. Please refer to your payment provider's terms to find out about any fees that may apply to your payment method.

7.4 Payment failure

If your payment fails:

  • No amount will be debited from your account or wallet
  • The transaction will be canceled
  • You will be informed of the failure and the reason (if available)
  • You can retry the transaction with the same method or choose another one

7.5 Currency

All transactions on Kodo are denominated in CFA Francs (FCFA), the official currency of Senegal. If you pay from a country using another currency, your payment provider or bank will apply its own exchange rate.


8. Refund policy

8.1 General principle

Due to the nature of the digital services offered (instant and irreversible delivery), refunds are exceptional and strictly regulated.

8.2 Cases eligible for a refund

Kodo will grant a refund only in the following cases:

Case 1: Service paid for but not delivered Your payment was successfully debited, but the service (credit, electricity, bill payment) was not delivered to the recipient, due to a technical failure on the part of Kodo or its partner aggregator.

Case 2: Unintentional double payment Your account was debited twice for the same transaction due to a technical error on the part of Kodo or its payment provider.

8.3 Cases not eligible for a refund

Kodo will not issue any refund in the following cases:

  • You entered an incorrect phone number
  • You entered an incorrect meter number or account identifier
  • The service was correctly delivered to the number or meter you provided, even if that was not your intention
  • You changed your mind after confirming the transaction
  • You did not have the right or permission to pay this bill or top up this number
  • The recipient claims not to have received the service, but delivery is confirmed by the aggregator

8.4 Refund request procedure

If you believe you are eligible for a refund:

  1. Contact Kodo via the app: Settings > Help & Support > Problem with a transaction
  2. Provide the reference for the transaction concerned
  3. Describe the problem you encountered in detail
  4. Attach any available evidence (screenshot, payment reference)

Kodo will investigate with its partner aggregators to verify the delivery status of the service. This may take between 2 and 5 business days.

Request deadline: Any refund request must be made within 7 calendar days of the transaction concerned. After this period, no request can be processed.

8.5 Refund processing

If your refund request is accepted:

  • The refund will be processed within 5 to 10 business days
  • The refund will be made via the same payment method used for the original transaction
  • You will be notified of the refund issuance via the app

Kodo cannot guarantee the crediting times applied by your payment provider after the refund is issued.


9. Kodo Points loyalty program

9.1 About the program

Kodo Points is Kodo's exclusive loyalty program. It rewards you for each of your transactions on the platform by awarding points, giving you access to perks within the Kodo ecosystem.

9.2 Nature of Kodo Points

It is expressly and conclusively stated that Kodo Points:

  • Are not electronic money or any other regulated payment instrument
  • Have no monetary value outside the Kodo ecosystem
  • Cannot be converted into money, phone credit, or any other asset with real monetary value
  • Are not transferable between users, nor bought, sold, exchanged, or transferred between accounts
  • Do not constitute an asset owed to you by Kodo, nor a debt Kodo owes you
  • Can only be used exclusively within the Kodo platform, as part of the offers and rewards proposed by Kodo

9.3 Accumulation terms

Accumulation rate: For every 100 FCFA spent on any Kodo service, you earn 1 Kodo Point.

When points are awarded: Kodo Points are credited automatically to your account after delivery of the service is confirmed. In the event of a failed transaction or a refund, any points credited will be canceled.

Rounding: Kodo Points are calculated in increments of 100 FCFA. Amounts below 100 FCFA do not generate points.

9.4 Referral program

In addition to points earned on your own payments, Kodo lets you earn points by inviting people you know to use Kodo.

How it works: Each user has a personal referral code. When a referee creates an account with this code and makes their first payment, the referrer and the referee each receive 50 Kodo Points. Points are credited only once this first payment is made, not simply when the referee's account is created.

Referral tiers: As your active referrals grow, you progress through tiers, each unlocking a points bonus in addition to the 50 points earned per referee, and for some tiers, a physical reward:

Once a tier is reached, it remains permanently acquired, even if the number of active referrals later changes. Physical rewards (T-shirt, trophy, certificate) are delivered subject to logistical feasibility (valid delivery address, serviceable area); if delivery is not possible, Kodo may offer a reward of equivalent value in Kodo Points.

Referral abuse: Referee accounts created for the sole purpose of generating referral points (fake accounts, artificial transactions, self-referral) constitute a violation of these Terms within the meaning of Section 10.2 and may result in the cancellation of the points concerned and the suspension of the accounts involved.

9.6 Using Kodo Points

Kodo Points can be used exclusively within the Kodo platform to obtain perks such as:

  • Discounts on future Kodo services
  • Exclusive special offers
  • Rewards from the Kodo catalog (mobile plans and credit, vouchers, experiences, wellness products, among other categories communicated within the app)

The precise terms for using points (number of points required, available offers, conditions) are defined by Kodo and communicated within the app. Kodo reserves the right to modify the terms for using points with prior notice.

Display error in the rewards catalog: In the event of an obvious error in the catalog (points price, description, or visual of a reward), Kodo reserves the right to cancel the transaction concerned and fully recredit the Kodo Points used. No compensation other than this recrediting may be claimed.

9.7 Suspension or cancellation of Kodo Points

Kodo reserves the right to suspend, reduce, or cancel all or part of a user's Kodo Points in the following cases:

  • Violation of these Terms
  • Fraudulent or suspicious activity
  • An attempt to manipulate the loyalty program (accumulating points through fraudulent means)
  • Closure or suspension of the account

9.8 Account closure and Kodo Points

If your Kodo account is closed, for any reason, your Kodo Points will be permanently deleted and cannot be recovered, refunded, or transferred.

9.9 Changes to the program

Kodo reserves the right to modify the terms of the Kodo Points program at any time, including:

  • The points accumulation rate
  • The terms of use and available rewards
  • The overall structure of the program

Any substantial change will be communicated with reasonable notice via the app.


10. User conduct and prohibited uses

10.1 Legitimate use

You agree to use Kodo only for legitimate purposes, in accordance with the law and these Terms. Kodo is designed to facilitate access to essential services for you and your loved ones.

10.2 Strictly prohibited uses

The following actions are strictly prohibited on the Kodo platform:

Fraud and illegal activities:

  • Using Kodo for illegal, fraudulent, or criminal activities
  • Using stolen, misappropriated, or unauthorized payment methods
  • Attempting to launder money or finance illegal activities
  • Creating fake transactions or fake accounts
  • Using a third party's identity to create an account or carry out transactions

Platform abuse:

  • Creating multiple accounts (one account per person only)
  • Using bots, scripts, automated tools, or programs to access Kodo or carry out transactions in an automated manner
  • Attempting to circumvent security measures, verification, or transaction caps
  • Deliberately overloading Kodo's servers or technical infrastructure
  • Reverse engineering, decompiling, or disassembling the Kodo app's code

Loyalty program abuse:

  • Attempting to manipulate the Kodo Points program through unintended means
  • Accumulating points through fake or fraudulent transactions
  • Selling, buying, or exchanging Kodo Points for money or other assets

Harm to third parties:

  • Using Kodo to harass, threaten, or harm another person
  • Sending unsolicited top-ups to non-consenting people for the purpose of harassment
  • Infringing the intellectual property rights of Kodo or third parties

10.3 User liability in the event of a violation

In the event of a violation of these Terms or the law, you will be held liable for all damages caused to Kodo, its partners, or third parties. Kodo reserves the right to pursue any appropriate legal action.


11. Third-party providers and aggregators

11.1 Role of aggregators

Kodo relies on third-party aggregators for the actual delivery of services (mobile credit, bill payments, prepaid electricity). These aggregators act as intermediaries between Kodo and the final operators (telecom operators, SENELEC, SENEAU, etc.).

11.2 Independence of third parties

Aggregators and third-party operators are entities independent of Kodo. Kodo has no control over their systems, processing times, or technical performance. Kodo cannot guarantee service delivery times, which partly depend on third-party operators' systems.

11.3 Kodo's liability in connection with third parties

Kodo commits to:

  • Selecting reliable and professional partner aggregators
  • Faithfully forwarding your orders to its partners
  • Investigating with its partners in the event of a reported delivery issue
  • Keeping you informed of the results of its investigations

Kodo is not liable for:

  • Delivery delays caused by third-party operators
  • Service interruptions by operators (outages, maintenance)
  • Operators' price changes affecting available services
  • Processing errors on the operator's side after Kodo has correctly transmitted the order

11.4 Resolving third-party related issues

In the event of a delivery issue:

  1. Contact Kodo first
  2. Kodo will launch an investigation with its partner aggregator
  3. If the issue is confirmed and attributable to the partner, Kodo will take corrective action (new credit or refund)
  4. If delivery is confirmed by the partner, Kodo will communicate this information to you

12. Service availability

12.1 Availability commitment

Kodo strives to keep its platform available 24 hours a day, 7 days a week, including public holidays. We aim for a high availability rate so you can access services at any time.

12.2 Planned interruptions (maintenance)

Kodo may carry out planned maintenance operations that require a temporary interruption of service. Kodo commits to:

  • Inform you in advance via available channels (in-app notification, website)
  • Keep the duration of planned interruptions to a strict minimum
  • Schedule maintenance during periods of lower usage

12.3 Unplanned interruptions

Unplanned interruptions may occur due to:

  • Unforeseen technical issues (hardware failures, critical bugs)
  • Security incidents requiring immediate action
  • Failures of third-party providers (hosting, connectivity)
  • Force majeure events

In the event of an unplanned interruption, Kodo commits to:

  • Communicate about the issue via its official channels as soon as possible
  • Implement corrective measures as quickly as possible
  • Inform users once the issue is resolved

12.4 Limitation of liability for unavailability

Kodo cannot be held liable for losses or damages resulting from a service interruption, whether planned or not, unless that interruption results from Kodo's gross negligence or willful misconduct.


13. Account suspension and closure

13.1 Temporary suspension

Kodo may temporarily suspend your account in the following cases:

  • Suspicious or potentially fraudulent activity under investigation
  • A technical issue affecting the security of your account
  • Identity verification required for security reasons
  • Suspected non-compliance with these Terms under investigation

A temporary suspension may be lifted after verification, if no violation is confirmed.

13.2 Permanent account closure by Kodo

Kodo reserves the right to permanently close your account in the following cases:

  • Serious or repeated violation of these Terms
  • Confirmed fraudulent activity
  • Proven illegal or harmful conduct
  • Abusive use of the platform (multiple accounts, bots, etc.)
  • A commercial or legal reason justifying closure

13.3 Notification

In the event of account suspension or closure, Kodo will inform you via the app, unless doing so risks compromising the security or integrity of an ongoing investigation.

13.4 Disputing a decision

If you believe your account was suspended or closed unfairly, you can contact us via the app to explain your situation. Kodo will review your request and communicate its decision to you.

13.5 Closing your account on your own initiative

You can close your Kodo account at any time via the app's settings. Closing your account results in:

  • The permanent removal of your access to the platform
  • The permanent loss of your Kodo Points
  • The retention of your transaction data for 12 months (in accordance with the Privacy Policy)

13.6 Effects of closure on ongoing transactions

If you close your account while a transaction is in progress, Kodo will process it normally. If there is a problem with this transaction, you can contact Kodo within the 7-day period provided for this purpose.


14. Limitation of liability

14.1 Kodo's general liability

Kodo implements all reasonable means to provide a quality, secure service. However, Kodo acts as a reseller and intermediary and cannot guarantee:

  • Permanent, uninterrupted availability of the service
  • The complete absence of errors or technical malfunctions
  • Continuous availability of third-party operators' services
  • The accuracy of information provided by third parties

14.2 Exclusions of liability

Kodo expressly excludes all liability for:

  • Damages resulting from user data entry errors (incorrect numbers, meters, amounts)
  • Financial losses, lost profits, or any indirect or consequential damages of any kind
  • Damages caused by force majeure events
  • Technical failures of third-party providers (operators, aggregators, payment providers)
  • Service interruptions due to external causes
  • Unauthorized use of the account by a third party due to the user's negligence
  • Damages resulting from use of the platform that does not comply with these Terms

14.3 Cap on Kodo's liability

To the extent permitted by applicable law, and except in cases of gross negligence or willful misconduct, Kodo's total liability to you, for any claim relating to use of the platform, shall be limited to the total amount of transactions you made on Kodo during the 30 calendar days preceding the occurrence of the damage.

14.4 Indemnification by the user

You agree to indemnify Kodo, its subsidiaries, officers, employees, and partners against any claim, damage, loss, or expense (including reasonable legal fees) arising from:

  • Your use of the platform in violation of these Terms
  • Your violation of any applicable law
  • Your actions or omissions causing harm to third parties
  • Any third-party claim arising from your use of Kodo

15. Changes to these Terms

15.1 Right to modify

Kodo reserves the right to modify these Terms at any time, in particular to reflect legal or regulatory changes, changes to our services, or new business practices.

15.2 Notification of changes

In the event of a substantial change to the Terms, Kodo will inform you:

  • Via a notification in the Kodo app
  • By email if you have provided us with your address
  • Via a visible banner the next time you log in

The updated version of the Terms will be accessible on the platform at all times. The "last updated" date at the top of the document indicates the effective date of the current version.

15.3 Acceptance of changes

Your continued use of the platform after the effective date of new Terms constitutes your acceptance of them. If you do not accept the new Terms, you must stop using Kodo and may close your account.


16. Intellectual property

16.1 Kodo's rights

All elements of the Kodo platform (including, without limitation, text, images, logos, trademarks, icons, design, brand guidelines, source code, features, databases, algorithms, and all content) are protected by intellectual property rights and are the exclusive property of Kodo Financial Technology Inc. or its licensors.

16.2 License granted

Kodo grants you a personal, non-exclusive, non-transferable, and revocable license, limited to using the platform in accordance with these Terms and within the scope of the available services. This license does not grant you any ownership rights and does not authorize you to use elements of the platform outside the scope defined by these Terms.

16.3 Prohibitions

It is strictly forbidden to:

  • Reproduce, copy, or download any content from the platform without authorization
  • Modify, translate, adapt, or create derivative works
  • Use the content for commercial or advertising purposes without authorization
  • Remove or alter intellectual property notices
  • Reverse engineer the app's code

17. Governing law and dispute resolution

17.1 Applicable law

These Terms are governed by the law of the State of Delaware (United States of America). For users in Senegal, the mandatory provisions of applicable Senegalese consumer protection law also apply, without prejudice to the governing law clause above.

17.2 Attempt at amicable resolution

In the event of a dispute or complaint relating to use of the platform or these Terms, you agree to contact Kodo first to try to resolve the issue amicably. Kodo commits to responding within 7 business days.

17.3 Mediation

If the dispute cannot be resolved amicably within 30 days of the first request, the parties agree to resort to mediation with a mutually agreed independent mediator, before any legal action.

17.4 Competent jurisdiction

If mediation fails, disputes relating to Kodo Financial Technology Inc. will be submitted to the competent courts of the State of Delaware. Disputes involving users in Senegal and relating to services provided by Kodo Financial Technology SAS may be submitted to the competent courts of Senegal.

17.5 Limitation period

Any legal action relating to the use of Kodo must be brought within 12 months of the date on which you became aware of the facts giving rise to the dispute. After this period, any action will be time-barred.


18. General provisions

18.1 Entire agreement

These Terms, together with Kodo's Privacy Policy and Legal Notice, constitute the entire agreement between you and Kodo regarding use of the platform. They supersede and cancel all prior agreements, oral or written, relating to this subject.

18.2 Severability

If a provision of these Terms is declared void, unlawful, or unenforceable by a competent court, that provision will be removed or limited to the minimum extent necessary, and the other provisions of the Terms will remain in full force and effect.

18.3 No waiver

Kodo's failure to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

18.4 Force majeure

Kodo cannot be held liable for any failure to fulfill its obligations resulting from a force majeure event, including, without limitation, natural disasters, fires, widespread network outages, armed conflict, government decisions, or any other event beyond Kodo's reasonable control.

18.5 No agency or partnership

Nothing in these Terms creates an agency, partnership, joint venture, or franchise relationship between you and Kodo.

18.6 Assignment

Kodo may assign or transfer its rights and obligations under these Terms at any time, in particular as part of a merger, acquisition, or asset sale, without your prior consent. You will be informed of any significant assignment. You may not assign your rights under these Terms without Kodo's prior written consent.
